Terms of Service

Effective 28 May 2026 · IDEAI (Pty) Ltd trading as Faktuur

These Terms of Service ("Terms") govern your use of the faktuur.co.za website and the Faktuur SaaS (web app and mobile app). Faktuur is operated by IDEAI (Pty) Ltd trading as Faktuur ("Faktuur", "IDEAI", "we", "us" or "our"). By creating an account or using the Service, you agree to these Terms.

1. Who we are

IDEAI (Pty) Ltd is a software company registered in South Africa (registration number 2026/390992/07), with its registered address at 28 Omega Road, Rozendal, Stellenbosch, Western Cape, 7600. You can reach us at hello@faktuur.co.za.

2. What Faktuur is

Faktuur is a subscription SaaS for South African service businesses that helps you turn a brief into a paid invoice. The Service includes:

  • AI project planner — generates a structured plan (tasks with priced labour subtasks, materials, schedule and payment milestones) from a written or dictated brief and uploaded photos;
  • Customer proposals — a multi-page PDF + a public web page where your customer can accept or decline;
  • Quotes and invoices — turn a proposal into a quote, the quote into a tax-ready invoice, all branded and emailed to your customer;
  • Paystack collection — every invoice carries a Paystack pay-link so your customer can pay you in ZAR;
  • Mobile app — an Android app for capturing briefs on site, dictating, attaching photos and sending proposals.

3. Account, eligibility and tenants

To use Faktuur you create a personal account (we identify you by email and use magic-link or Google sign-in). You are responsible for one or more "businesses" (tenants) under your account; each business is isolated from every other on the platform. You may use Faktuur only if you are at least 18 years old and have the legal capacity to enter contracts on your business's behalf.

4. Subscription plans and fees

Faktuur is offered on tiered monthly subscription plans. The current plans and prices are published on the Pricing page and currently comprise Starter (R99/month), Pro (R499/month) and Super (R4,999/month). Prices are in South African Rand and exclude VAT unless stated.

Subscription charges are taken in advance through Paystack on the day of activation and then on the same day of every following month, until cancelled. Some plans may offer a free tier or trial — the terms appear in the sign-up flow when applicable. By subscribing you authorise the recurring charge.

5. Activation, renewal and cancellation

A subscription activates the moment Paystack confirms payment. It renews automatically at the end of each billing period. You may cancel at any time from within Faktuur; cancellation takes effect at the end of the current paid period — you keep access until then. We will give you reasonable notice of any change to recurring prices before it takes effect. Refunds are dealt with in our Refund Policy.

6. Customer data that you upload

Faktuur is a tool you use to build invoices, quotes and proposals for your customers. The data you put into it — customer names, email addresses, billing addresses, VAT numbers, project briefs, photos, line items — remains yours. You are responsible for ensuring you have a lawful basis to upload your customers' personal information to Faktuur, and that your own privacy policy makes that clear. We process this data on your behalf as described in our Privacy Policy.

7. AI features and your content

Faktuur uses Anthropic's Claude models to turn your briefs and uploaded photos into project plans, and to refine drafted briefs. Your inputs and the AI's outputs are processed under Anthropic's commercial terms; we do not use your content to train any model. AI outputs are suggestions — you remain responsible for reviewing every number, line item and price before sending anything to a customer.

8. Paystack collection and money flow

When your customer pays an invoice through the Paystack link on a Faktuur invoice, the funds settle to your Paystack-registered bank account, not to ours. Faktuur is not a payment institution and does not hold customer funds in respect of your invoices. Paystack's own terms and privacy policy govern that leg of the transaction.

9. Your responsibilities

You agree to use Faktuur lawfully and in good faith: keep your account credentials secure, don't upload anything that infringes another party's rights or breaks the law, don't use the Service to defraud anyone, and don't try to disrupt or gain unauthorised access to our systems or those of our subprocessors.

10. Service availability

We provide the Service with reasonable skill and care and aim for high availability, but we do not warrant that the Service will be uninterrupted or entirely error-free. We may carry out planned maintenance, and may make changes to the Service from time to time — including launching new features, deprecating old ones, or adjusting limits — with reasonable notice where the change materially affects you.

11. Intellectual property

Faktuur, the Faktuur and IDEAI trademarks, the website, the apps and the underlying code remain the property of IDEAI (Pty) Ltd. You own the data and content you upload (briefs, photos, customer records, invoices, etc.). You grant us a non-exclusive licence to host, process, store, transmit and display that content as necessary to provide the Service to you.

12. Suspension and termination

We may suspend or terminate your account if you breach these Terms (for example by misusing the Service or failing to pay), or where required by law. You may terminate by cancelling your subscription and deleting your account from within the app. On termination, sections that by their nature should survive — payment, intellectual property, confidentiality, liability — continue to apply.

13. Limitation of liability

To the maximum extent permitted by law, IDEAI is not liable for any indirect, incidental or consequential loss, or for loss of profit, revenue or data. Our total liability arising out of or in connection with the Service is limited to the amount you paid us for the Service in the three months immediately before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under law.

14. Governing law

These Terms are governed by the laws of the Republic of South Africa, and any dispute is subject to the jurisdiction of the South African courts. We encourage you to contact us first so we can try to resolve any issue directly.

15. Changes to these Terms

We may update these Terms from time to time. The current version will always be posted on this page with a revised effective date. Continuing to use Faktuur after a change means you accept the updated Terms.
